The terms we work by
How Happidev quotes, builds, hands over and supports your website, plus what you can expect from us and what we need from you.
Last updated
In plain English
- Starter and Standard plans can be ordered online at the fixed prices listed, and anything else gets a fixed written quote before you pay. A 70% deposit on the service starts the work and the final 30% is due at launch. Add-ons and extras are paid in full upfront.
- Revision rounds and free bug-fix days after launch depend on your plan, and you can upgrade anytime by paying the difference.
- Domains are registered in your name, and you can move your domain and website whenever you like.
- Once the final payment is made, the custom design, code and content are yours.
- If we breach our agreement or can't deliver what we agreed, our 80% money-back guarantee protects you.
- Startup partnerships are governed by their own signed agreement.
- Nothing in these terms takes away your rights under Nigerian consumer law.
01Who we are
Happidev is a web design and development business operated by Macpherson Dieze in Port Harcourt, Rivers State, Nigeria. In these terms, "we", "us" and "our" mean Happidev, and "you" means the person or business using our website or hiring us.
You can reach us at hello@happidev.pro or on WhatsApp at 0701 984 3903.
Each project also has a written quote that sets out its scope, price and timeline. If the quote and these terms disagree, the quote applies to that project.
02Using this website
You're welcome to browse, share and link to our website. Please don't:
- copy our designs, illustrations, text or code for your own use without permission
- attempt to break, overload or gain unauthorised access to the site
- use the site to send spam or anything unlawful
Starter and Standard prices on this website are fixed for the features listed in each plan. Premium plans, and anything beyond a plan's features, are priced in your written quote.
03How projects work
- Free call: we learn about your business and what the website needs to do.
- Written quote: you get a fixed price, timeline and clear scope. If you order a Starter or Standard plan online, your order confirmation sets out the plan, price and what's included.
- Deposit: you pay 70% of the service price to book your project and start the work. Add-ons and extras, such as App Store Launch, domains, hosting and brand kits, are paid in full upfront.
- Design and build: we share previews so you can give feedback as we go.
- Launch and handover: once the agreed scope is delivered, you pay the final 30% and we go live and hand over your accounts.
04Scope, revisions and changes
Your quote lists exactly what's included, including your plan. Revisions on the agreed design and content depend on that plan: Starter, 1 revision round; Standard, 2 revision rounds; Premium, unlimited revisions within scope.
Anything outside the agreed scope, such as new pages, features or extra revision rounds, is quoted separately. We'll always tell you the price and get your approval before doing extra work.
05Plans and upgrades
- Each service comes in Starter, Standard and Premium plans. Your quote names your plan and lists what it includes.
- Unlimited revisions on Premium means as many rounds as you need on the agreed pages, features and content. New pages or features are a change of scope and are quoted separately.
- Premium includes priority delivery: your project is scheduled ahead of Starter and Standard work, and your timeline is agreed in your quote.
- You can upgrade your plan before or during your project. You only pay the difference between the two plans, and any extra time is added to your timeline.
06Add-ons, extras, domains and hosting
- Add-ons and extras you choose, such as App Store Launch, domains, hosting, business email, copywriting or a brand kit, are paid in full upfront, as shown in your order summary.
- We ask for full payment because some add-ons involve third-party costs we pay before the work starts, and all of them are small, fixed-scope jobs. Only our main services, such as websites, stores and apps, are split into a deposit and a final payment.
- Domains are registered in your name, and they're yours to keep.
- Domains and managed hosting renew yearly. We'll invoice you at least 30 days before each renewal. If a renewal isn't paid, the domain or hosting may lapse.
- You can cancel hosting or move your domain and website to another provider at any time, and we'll help you transfer them.
07What we need from you
- Content such as text, images and logos, or approval for us to create it
- Feedback on previews within the agreed review windows
- Access to any accounts we need, such as your domain, hosting or payment provider
- Confirmation that you own or have permission to use everything you send us
If we don't hear from you for 7 days while we're waiting on something, we may pause the project. The timeline moves by the length of the pause, and we'll pick up again as soon as you're ready.
08Fees and payment
- We accept payments in naira through Paystack, including cards and bank transfer. International clients pay in US dollars, either by card through Paystack where available or by an invoice from Payoneer, our payment partner, which can be paid by card or US bank transfer.
- When you pay online, we create a client account for you and email you a link to set your password. You use it to follow your project, and you're responsible for keeping your password safe.
- Invoices are due within 7 days unless your quote says otherwise.
- App Store Launch is delivered within 24 to 72 hours of receiving the access and files we need. That covers our part: the forms, listing details, assets on Listing + Assets and submission.
- App store review times and approval are decided by Apple and Google, not by us. We fix listing and submission issues and resubmit at no extra cost. Changes to the app itself are quoted separately before any work starts.
- We may pause work on overdue invoices until they're paid.
- Third-party costs such as domains, hosting, paid plugins, app store accounts and API fees are paid by you, unless your quote includes them.
- Payment processing fees and any taxes that apply are shown on your invoice.
09Timelines
Your quote includes an estimated timeline. We'll work to meet it and tell you straight away if anything outside our control is likely to cause a delay.
10Ownership and intellectual property
When we receive your final payment, we assign to you in writing all rights in the custom design, code and content we created for your project.
- We keep ownership of our pre-existing tools, code libraries and know-how, and give you a permanent, royalty-free licence to use them as part of your website.
- Open-source software and third-party services stay under their own licences.
- Until the final payment, the work remains ours and is licensed to you for review only.
- We may show your finished project in our portfolio unless you ask us not to.
11Bug fixes after launch
After launch, we'll fix any bugs where the website doesn't work as agreed in your quote, free of charge, for the period your plan includes: Starter, 7 days; Standard, 14 days; Premium, 30 days.
This doesn't cover changes made by you or someone else, outages at your hosting or third-party providers, or new features. Ongoing support is available through a Website Care Plan.
12Our 80% money-back guarantee
If we breach our agreement with you, or we under-deliver and can't meet the requirements in your quote after a fair chance to fix it, you get 80% of everything you've paid for that project back.
This covers the service and the add-ons and extras we deliver ourselves, such as App Store Launch, copywriting, brand kits and setup work. Third-party costs we've already paid on your behalf, such as domain registration and hosting, can't be refunded, but they're yours to keep and we'll transfer them to you.
If we cancel before sharing any work with you, you get a full refund, less any non-refundable charges such as payment processing fees or taxes already paid.
13Website Care Plans
- Care plans are billed monthly in advance. What's included depends on the plan you choose: Starter, Standard or Premium.
- You can cancel anytime with 72 hours' notice. There's no long-term contract.
- Small changes include text and image updates, new blog posts, minor layout tweaks and bug fixes. Bigger features are quoted separately.
14Startup partnerships
When we work with a startup as its technical co-founder, product team or IT team, we sign a separate written partnership agreement. That agreement sets out the roles, any equity, vesting or fees, timelines, ownership of code and intellectual property, and how the partnership ends.
If a partnership agreement and these terms disagree, the partnership agreement applies. Nothing on our website about equity, vesting or fees is an offer. Those terms only apply once they're in a signed agreement.
- Passwords, keys and access to your systems are kept confidential and only used for the partnership.
- You keep access to your code, accounts and data throughout the partnership.
- If the partnership ends, we hand over code, credentials and documentation as set out in the agreement.
15Confidentiality
We both agree to keep each other's private business information confidential and to only use it for the project. This doesn't apply to information that's already public or that the law requires us to share.
16Limitation of liability
As far as the law allows, we're not liable for indirect or consequential losses, such as lost profits, revenue or data. Our total liability for any project is limited to the amount you paid us for that project.
None of this limits your rights under the Federal Competition and Consumer Protection Act 2018 or any liability that can't legally be limited.
17Ending a project
Either of us can end a project by telling the other in writing. Any refund is worked out under our Refund Policy, and you pay for work completed up to that point unless the guarantee applies.
18Disputes and governing law
If something goes wrong, tell us first. We'll work with you in good faith to sort it out within 14 days. If we can't agree, we'll try mediation in Port Harcourt before going to court.
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Rivers State have jurisdiction. This doesn't remove any consumer rights you have where you live.
19Changes to these terms
We may update these terms from time to time. The date at the top shows when they last changed. Changes don't affect projects that have already started under an agreed quote.
